Cursor is an AI coding agent service used by software developers to assist with code generation, modification, and design decisions. It is developed and operated by the startup Anysphere. According to Reuters, Cursor has grown rapidly since its founding in 2022, with annual enterprise revenue reaching approximately $2.6 billion (approximately 416 billion yen). However, it is not on the same scale as OpenAI or Anthropic, and a lack of access to computing resources has been a constraint on its growth.
According to Form 8-K filed by SpaceX with the U.S. Securities and Exchange Commission (SEC), X67 Inc., a wholly owned subsidiary of SpaceX, will be absorbed by Anysphere, which will continue to exist as a wholly owned subsidiary of SpaceX. Anysphere shareholders will exchange their common and preferred stock for SpaceX Class A common stock upon completion of the acquisition. The number of SpaceX shares to be exchanged will be determined based on the average price of SpaceX shares in the seven trading days immediately preceding the completion of the acquisition, with Anysphere's total value estimated at $60 billion (approximately 9.6 trillion yen).

In April, SpaceX presented the option of acquiring Anysphere for $60 billion (approximately 9.6 trillion yen) by the end of the year, or paying $10 billion (approximately 1.6 trillion yen) for a partnership. According to TechCrunch, Anysphere had raised $2 billion (approximately 320 billion yen) prior to the acquisition, and its valuation at that time was expected to be $50 billion (approximately 8 trillion yen).

Alongside the acquisition announcement, SpaceX indicated its intention to soon offer AI models on Cursor. They also mentioned that their xAI coding agent, Grok Build , had been jointly trained with Cursor for several months, suggesting their intention to integrate Cursor into their own AI development platform.
On the other hand, the completion of the acquisition depends on regulatory approvals and other factors. The merger agreement stipulates that if the deal falls through under certain conditions, SpaceX will pay Anysphere a $10 billion (approximately 1.6 trillion yen) termination fee, and if it fails to go through due to antitrust issues, it will pay $4 billion (approximately 640 billion yen).
SpaceX has told investors that 'the market size that SpaceX can target is $28.5 trillion (approximately 4,560 trillion yen), and the majority of that comes from enterprise AI.' According to the IT news site TechCrunch, of this, the AI infrastructure business is expected to grow to $2.4 trillion (approximately 384 trillion yen), and enterprise applications to $22.7 trillion (approximately 3,632 trillion yen). The acquisition of Anysphere can be seen as a major deal that will materialize SpaceX's growth scenario following its IPO.
