OpenAI was launched as a non-profit company, but at the time of writing, it consists of two entities: the non-profit research organization 'OpenAI Inc.' and the for-profit corporation 'OpenAI Global LLC' to cover development costs under its umbrella organization. Although the non-profit research organization manages the for-profit corporation, OpenAI CEO Sam Altman has stated that in order to become a more attractive company to investors, it needs to continue developing attractive AI products, which requires continuing to invest in research and development, and therefore it needs to abandon its status as a non-profit organization.
In response to this, Musk has always complained that OpenAI, which was supposed to be launched as a non-profit organization, has somehow become a commercial company, and sued OpenAI at the end of February 2024. Musk claimed that he had signed an establishment agreement to 'keep OpenAI as a non-profit organization and its technology open source,' but OpenAI countered that there was no establishment agreement as Musk claims.

After that, Musk's lawsuit was dropped once , but he sued OpenAI again in August 2024. In this lawsuit, Musk applied to the court in December 2024 for an injunction to stop OpenAI from becoming a commercial company.

It has now been revealed that Meta, separate from Musk, has asked California Attorney General Rob Bonta to block OpenAI's plans to transition to a commercial company.
Meta sent a letter to Bonta's Attorney General's office in the second week of December 2024, stating that 'OpenAI should not be allowed to violate the law by using the assets it has built as a charity for potentially enormous personal gain,' and arguing that it should block the commercialization of OpenAI.
In the letter, Meta said that Musk is 'qualified to represent the interests of the people of California in the matter of commercializing OpenAI,' and supports Musk's lawsuit to block the commercialization of OpenAI. Technology media The Verge reported that 'this is outrageous, considering that Mark Zuckerberg and Elon Musk were planning a cage fight in 2023. '
Meta claims that if OpenAI becomes a commercial company, it could 'shook up Silicon Valley' and 'signal a paradigm shift in technology startups.'
In response, OpenAI Chairman Bret Taylor said only that the company's nonprofit board is 'focused on fulfilling our fiduciary responsibility by ensuring that we can continue to advance our mission of ensuring that artificial general intelligence (AGI) benefits all of humanity.'
As Meta strengthens its AI business, it has competitive reasons to impede OpenAI's commercial success: Zuckerberg wants Meta's AI to be the most used assistant in the world, and Zuckerberg wants to build an AI superintelligence, which OpenAI is also competing to achieve.
