TikTok was required to sell its business or cease providing services in the U.S. under the Protecting Americans from Applications Controlled by Foreign Adversaries Act, commonly known as the TikTok Ban Act. The deadline has been extended several times by President Donald Trump, but the final decision was due on December 16, 2025.

On December 19, 2025, it was revealed that TikTok CEO Shou Chu told employees that 'based on an agreement with the Trump administration, we have signed an agreement to establish a joint venture in the United States.'
According to reports, a consortium of investors including software company Oracle, private equity firm Silver Lake, and UAE state investment firm MGX will own 45% of the new company, while TikTok's parent company ByteDance will hold around 20%, and the rest will be held by ByteDance's existing investors.
As part of the deal, the new company will be overseen by a seven-person, mostly American, board of directors.

The new company will control the US version of TikTok, and will also own TikTok's hyper-engagement algorithm and the vast amount of data the app collects from millions of Americans. According to the agreement, the US version of TikTok's algorithm will be retrained using only American data, and content moderation decisions will be made by the new company.
However, according to sources who spoke to foreign media outlet NPR, TikTok's algorithm itself will remain owned by ByteDance, with approval from a US accounting firm.
The new contract is scheduled to be signed on January 22, 2025.
